Independent Consulting / Remote Engagement
About the Opportunity
We are seeking an experienced China-based corporate and regulatory lawyer to provide focused legal, regulatory and compliance support to multinational organizations operating in China and throughout the Asia-Pacific region.
The ideal candidate must be an independent practitioner, solo practitioner or independent legal consultant with substantial experience advising Chinese companies and/or multinational organizations on corporate, commercial, regulatory, compliance and operational matters in China.
The successful candidate should have a strong understanding of the Chinese legal and regulatory environment and should be comfortable with conducting legal research and regulatory analysis, interpreting Chinese laws and regulations, drafting and reviewing legal and compliance documents, and providing practical advice on complex business and compliance matters.
Particular emphasis will be placed on advising on anti-bribery and anti-corruption matters in relation to healthcare compliance, healthcare professional (HCP) interactions, anti-bribery and anti-corruption matters, third-party relationships, corporate and commercial operations, and the implementation of global compliance requirements within China.
The engagement is structured to provide a dedicated and responsive China-based legal resource to support the Company's ongoing compliance and regulatory work.
Key Responsibilities
- China Corporate and Commercial Legal Advisory
- Provide legal advice regarding the governance, structure, and operations of companies and business entities in China.
- Advise on corporate governance, corporate authorities, business operations, commercial arrangements, and regulatory requirements applicable to Chinese companies.
- Review and interpret Chinese laws, regulations, administrative measures, regulatory guidance, and industry requirements relevant to client operations.
- Identify legal and regulatory risks arising from proposed or existing business practices and provide practical recommendations for mitigation.
- Advise on the legal and regulatory implications of operational practices, commercial strategies, and business relationships.
- Support reviews of agreements and arrangements involving distributors, suppliers, consultants, vendors, healthcare organizations, healthcare professionals, and other third parties.
- Coordinate with international legal and compliance teams to ensure that global policies and compliance requirements are appropriately adapted to the Chinese legal and regulatory environment.
- Regulatory Interpretation & Advisory
- Conduct independent legal and regulatory research concerning Chinese laws, regulations, administrative measures, regulatory guidance, and enforcement developments.
- Interpret complex Chinese legal and regulatory requirements and explain their practical implications to international clients and non-Chinese stakeholders.
- Prepare legal memoranda, regulatory analyses, legal opinions, risk assessments, compliance guidance, and executive-level reports.
- Monitor developments in Chinese laws and regulations affecting healthcare, medical devices, pharmaceuticals, life sciences, and other regulated industries.
- Assess the legal and regulatory implications of actual business practices and proposed commercial activities.
- Identify gaps between existing business practices, applicable laws, regulatory expectations, and internal compliance requirements.
- Provide practical and commercially appropriate recommendations to address identified legal and regulatory risks.
- Where appropriate, coordinate with specialized Chinese counsel, regulatory experts, or other subject matter specialists.
- Healthcare, Medical Device & Life Sciences Compliance
- Support compliance assessments involving healthcare professionals (HCPs), healthcare institutions, hospitals, medical associations, government-affiliated organizations, and other healthcare stakeholders.
- Review and advise on HCP-related activities, including:
- Consulting arrangements;
- Speaker programs;
- Advisory boards;
- Medical education;
- Educational programs;
- Congresses and conferences;
- Sponsorships;
- Grants and donations;
- Travel and hospitality; and
- Other transfers of value.
- Assess whether proposed HCP interactions and healthcare-related activities comply with applicable Chinese laws, regulations, industry standards, and company policies.
- Advise on regulatory and compliance risks associated with healthcare commercialization and business practices.
- Support reviews of promotional, marketing, market access, and product-related activities.
- Provide practical guidance regarding healthcare compliance expectations applicable to China-based operations.
4. Anti-Bribery, Anti-Corruption & Ethics
- Provide legal and compliance advice regarding anti-bribery and anti-corruption laws and regulations applicable in China.
- Support multinational organizations in assessing compliance with applicable international anti-corruption requirements, including the FCPA and UK Bribery Act, where relevant.
- Identify and assess corruption risks arising from interactions with:
- Government officials;
- Healthcare professionals;
- Healthcare institutions;
- State-owned or state-affiliated entities;
- Distributors and agents;
- Consultants;
- Vendors and suppliers; and
- Other third-party intermediaries.
- Review and advise on gifts, meals, entertainment, travel, hospitality, sponsorships, grants, donations, consulting arrangements, and other transfers of value.
- Support anti-bribery and anti-corruption risk assessments and compliance reviews.
- Assist with the development and localization of anti-corruption policies, procedures, controls, and guidance for China-based operations.
- Advise on potential bribery, kickback, improper payment, conflict-of-interest, facilitation payment, and related compliance risks.
- Support investigations involving potential anti-bribery, anti-corruption, healthcare compliance, or ethics violations.
- Provide practical recommendations for remediation and risk mitigation.
5. Legal Drafting & Contract Review
The successful candidate must possess strong legal drafting and contract review capabilities and be able to independently prepare high-quality legal and compliance documents.
Responsibilities include:
- Draft, review, revise, and negotiate commercial, corporate, regulatory, and compliance agreements.
- Draft legal memoranda, legal opinions, regulatory assessments, compliance guidance, and risk analyses.
- Draft and review policies, procedures, codes of conduct, standards, guidelines, and internal compliance documents.
- Draft and review agreements involving:
- Healthcare professionals;
- Consultants;
- Distributors;
- Vendors;
- Suppliers;
- Healthcare institutions; and
- Other third-party business partners.
- Develop contractual provisions addressing compliance with anti-bribery, anti-corruption, healthcare, regulatory, audit, and other applicable requirements.
- Identify legal and compliance risks in agreements and recommend appropriate contractual protections.
- Translate complex regulatory requirements into practical contractual and operational requirements.
- Ensure that documents are consistent with applicable Chinese law while appropriately reflecting multinational compliance standards.
6. Compliance Program Implementation & Localization
- Support multinational organizations in implementing global compliance programs within China.
- Assess whether global policies and procedures are consistent with applicable Chinese laws and regulations.
- Identify areas requiring China-specific localization or adaptation.
- Assist in developing China-specific policies, procedures, guidelines, and compliance controls.
- Provide legal input into anti-bribery, healthcare compliance, HCP interaction, third-party risk, conflicts-of-interest, and related compliance programs.
- Support compliance training and awareness initiatives.
- Help translate global compliance requirements into practical procedures that can be implemented by China-based business teams.
- Advise on the practical implementation of compliance controls within the Chinese business environment.
7. Cross-Border & Multinational Legal Support
- Serve as a China-based legal and regulatory resource for multinational clients and global compliance teams.
- Explain Chinese legal and regulatory requirements to international stakeholders in clear, concise, and practical terms.
- Advise international compliance teams regarding the interaction between Chinese business practices and global compliance requirements.
- Support cross-border compliance assessments and investigations involving China.
- Coordinate with legal and compliance professionals in other APAC jurisdictions.
- Assist in assessing the China-specific implications of global policies, procedures, and compliance initiatives.
- Provide practical advice that takes into account both Chinese law and the multinational client's global compliance framework.
Preferred Qualifications
- Qualified lawyer based in Mainland China, Hong Kong or Singapore at least five (5) years of relevant legal experience.
- Current solo practitioner, independent counsel, or independent legal consultant strongly preferred.
- Substantial experience advising Chinese companies and/or multinational organizations operating in China.
- Demonstrated practical knowledge of the Chinese corporate, commercial, regulatory, and business environment.
- Strong ability to independently interpret and apply Chinese laws and regulations to real-world business situations.
- Experience in healthcare, medical devices, pharmaceuticals and advising on healthcare professional interactions and healthcare institution relationships preferred
- Demonstrated experience with anti-bribery and anti-corruption laws and compliance programs.
- Excellent written and spoken Mandarin and English.
Independent Practice & Availability
Because this position is intended to provide focused and ongoing China-based legal support, preference will be given to candidates who practice independently and can personally dedicate meaningful time and attention to the engagement.
The successful candidate should:
- Be a solo practitioner, independent counsel, or independent legal consultant;
- Be able to personally perform the substantial majority of assigned work;
- Be available for approximately 10–20 hours per week initially;
- Be able to prioritize the Company's matters and meet agreed deadlines;
- Be comfortable working directly with senior compliance professionals and executive stakeholders;
- Be capable of independently managing matters from legal research and analysis through drafting, advice, and final deliverables;
- Provide continuity of service throughout the engagement; and
- Be able to work without substantial reliance on associates, junior lawyers, or other law firm personnel.
Candidates currently practicing within a law firm may be considered where they can demonstrate sufficient availability, independence, and ability to personally perform the required work. However, independent practitioners who can provide focused and consistent support are strongly preferred.
